Terms of Service

These Terms apply to your use of the P1K Media website and our design, content, and web development services. By using our site or engaging us, you agree to these Terms.

Engagements & Scope

Each project is defined in a statement of work (SOW) detailing scope, deliverables, timeline, and fees. Conflicts between these Terms and the SOW are resolved in favor of the SOW.

Client Inputs

You will provide timely approvals, content, brand assets, and required access. You confirm you have rights to the materials you supply and that they are lawful and accurate.

Intellectual Property

We retain ownership of our pre-existing IP, tools, and frameworks. Upon full payment, you receive the rights described in the SOW to the final deliverables. Third-party assets are subject to their own licenses.

Payment

Payment schedules and terms are set in the SOW. Late payments may pause work and incur reasonable fees. Taxes and duties are your responsibility unless stated otherwise.

Confidentiality

Both parties will protect confidential information and use it only for the project. Exceptions include information already public, independently developed, or obtained lawfully from another source.

Warranties & Disclaimers

We provide services in a professional and workmanlike manner. Except as stated, services are provided "as is" without additional warranties. We do not guarantee specific traffic, conversion, or revenue results.

Limitation of Liability

Neither party is liable for indirect or consequential damages. Our total liability is limited to the fees you paid for the services giving rise to the claim in the twelve months before the event.

Termination

Either party may terminate for material breach after 15 days' notice to cure. On termination, you will pay for work performed and approved expenses to date. Sections on IP, confidentiality, payments, and limitations survive termination.

Governing Law

These Terms are governed by the laws stated in the applicable SOW or, if none, the laws of our primary operating jurisdiction. Disputes will be resolved in those courts.
